Terms of Service for NestEgg

Acceptance of These Terms

These Terms of Service ("Terms") are a binding agreement between you and Nest Egg Advisors, Inc. ("NestEgg," "we," "our," or "us"). By creating an account, contributing through a gift link, or otherwise using our website or mobile application (together, the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services before the changes take effect. Your continued use of the Services after changes take effect means you accept the updated Terms.

Who May Use the Services

To open an account, you must:

  • Be at least 18 years old
  • Be a legal resident of the United States
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate, current, and complete information during registration

Custodial accounts opened through the Services are held for the benefit of a minor, with an adult acting as custodian under the applicable Uniform Gifts to Minors Act (UGMA) or Uniform Transfers to Minors Act (UTMA).

What NestEgg Is (and Is Not)

NestEgg provides technology that helps parents and guardians open and manage custodial investment accounts for children, and lets family and friends contribute to those accounts through shareable gift links.

  • Brokerage services are provided by Alpaca Securities LLC, an SEC-registered broker-dealer and member FINRA/SIPC — not by NestEgg.
  • Nest Egg Advisors, Inc. is in the process of registering as an investment adviser with the U.S. Securities and Exchange Commission and is not yet providing investment advisory services.
  • Nothing in the Services constitutes investment, tax, or legal advice. Content on our site — including guides, calculators, and projections — is for informational and educational purposes only.

Early Access

The Services are currently offered in an early access period. During early access, features may change, be interrupted, or be discontinued, and access may be limited, suspended, or ended at our discretion. NestEgg is free during early access; we will provide notice before introducing fees.

Your Account

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us promptly at support@nesteggapp.com of any unauthorized use

You agree to provide truthful information, including the identity information required by federal law to open financial accounts (such as Social Security numbers for you and your child).

Custodial Accounts and Gift Contributions

  • Money contributed to a custodial account is an irrevocable gift to the minor. It cannot be taken back, and it transfers to the child's control when they reach the age of majority in their state of residence.
  • Contributions made through a gift link are delivered to the child's custodial account and are likewise irrevocable once completed.
  • The custodian — not NestEgg — is responsible for managing the account in the best interest of the minor and for any tax reporting obligations related to the account.
  • Custodial accounts may affect financial-aid eligibility. Consult a tax professional about your situation.

Investment Risk

Investing involves risk, including the possible loss of principal. Past performance does not guarantee future results. Any projections shown in the Services are hypothetical, do not reflect actual investment results, and are not guarantees of future results.

Third-Party Services

The Services rely on third parties, including Alpaca Securities LLC (brokerage), Plaid (bank connections), and Stripe (payment processing). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose, including money laundering or fraud
  • Contribute funds you do not have the legal right to give
  • Attempt to access another user's account or data
  • Interfere with, disrupt, or attempt to probe or breach the security of the Services
  • Copy, scrape, or resell the Services or their content without our permission

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to NestEgg, our users, or any minor beneficiary.

Intellectual Property

The Services, including all content, features, trademarks, and branding, are owned by Nest Egg Advisors, Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended personal purpose. No other rights are granted.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, Nest Egg Advisors, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or investment losses, arising out of or related to your use of the Services. To the maximum extent permitted by law, our total liability for any claim arising out of these Terms or the Services will not exceed the greater of one hundred dollars ($100) or the amounts you paid us in the twelve months before the claim arose.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including under the federal securities laws.

Termination

You may close your account at any time by contacting support@nesteggapp.com. Because custodial assets belong to the minor, closing your NestEgg account does not undo gifts already made; underlying brokerage accounts are handled according to the account agreements with our brokerage partner.

We may suspend or terminate your access to the Services at any time for violation of these Terms or as required by law or our partners.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, and by applicable U.S. federal law. Any disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

This website is operated by Nest Egg Advisors, Inc.
